Excerpt from Amalgamation Schemes
Undeniably, there is much in competition that is healthy, but, undeniably also, competition may be wasteful. On the one hand, of course, the forma tion of trusts which are in a position to corner commodities or services and so force up the price of either against the consumer or the user is to be deprecated, yet, on the other hand, any form of co-operation which, by avoiding duplication of effort, will produce the same commodity or render the same service more economically cannot but be of benefit to the community as a whole, provided, of course, that the profit earned is not excessive.
In case any of you should at this stage be wonder ing whether you are to listen to-night to a paper on political economy, I hasten to set your minds at rest.

Paperback. Zustand: New. Print on Demand. This fascinating book explores the topic of business mergers and other methods of combining interests for mutual benefit. The author, a renowned mergers and acquisitions specialist, outlines three main forms of merger with their respective advantages and disadvantages. The first is a pooling agreement, where future profits are shared in agreed proportions, allowing for a continuation of business in its existing form with minimal disruption. Secondly, a holding company can be formed to acquire controlling shares in the merging companies. Lastly, a complete amalgamation involves the merging of assets and liabilities under a single, newly formed company. The author emphasizes the significance of accurately valuing the assets and liabilities of merging companies, discussing various valuation methods. They also address the importance of considering goodwill, which is determined by the excess of anticipated future profits over a fair return on invested capital, and applying an appropriate number of years' purchase to arrive at a valuation. This insightful book provides valuable guidance to business owners, investors, and professionals involved in mergers and acquisitions, helping them navigate this complex landscape and assess the potential benefits and challenges of each approach.
