Seit dem Redaktionsschluss der vom Markt sehr gut aufgenommenen zweiten Auflage dieses Standardwerkes hat sich das Aktienrecht in Gesetzgebung, Rechtsprechung und Schrifttum stürmisch weiterentwickelt. Dies macht eine überarbeitete und aktualisierte Neuauflage notwendig. Anlass dazu geben insbesondere zahlreiche wichtige Änderungen und Neuregelungen des Gesetz- und europäischen Verordnungsgebers. Für die dritte Auflage wurde das Autorenteam erneut erweitert: Mit Herrn Dr. Jochem Reichert und Herrn Prof. Dr. Frank A. Schäfer sind zwei weitere namhafte und ausgewiesene Kenner der Materie in den Kreis der Autoren eingetreten. Auch in der Neuauflage wird durch die bewährte und einmalige Kombination aus Handbuch, Mustertexten und Kommentierung größtmöglicher Praxisnutzen gewährleistet. Ein die Muster - aber auch das Aktienrecht - erläuternder hochaktueller Kommentar Einige Jahre ist es her, dass die erste Auflage dieses Bandes erschienen ist. Dass die zweite Auflage "völlig neu bearbeitet und wesentlich erweitert" werden musste, versteht sich also von selbst. Neue Grundsatzentscheidungen des BGH und vor allem die Gesetzgebung der letzten Jahre haben das Aktienrecht geradezu umgekrempelt. KontraG, Gesetz zur Einführung des Euro und TransPuG sind hier nur einige Beispiele. Und diese Dynamik ist ungebrochen, man denke nur an zukünftige Gesetzesvorhaben auf europäischer Ebene. Im Vergleich zur Vorauflage ist der Band von 13 auf 18 Abschnitte gewachsen, aus 103 sind 131 Muster geworden. Neu sind z. B. die Kapitel "Übernahmeangebot und Squeeze-Out" sowie "Klage- und Antragsverfahren". Der enorme Umfang des Werks (1.863 Seiten, solide gebunden und im Schuber) erklärt sich aber nicht in erster Linie aus der Anzahl der behandelten Themen, sondern aus der Gründlichkeit, mit der sie behandelt werden. Im Unterschied zu den üblichen, insbesondere den Anwaltsmarkt bestimmenden "Kochbüchern" beschränken sich die Beiträge hier nicht auf knappe Hinweise und Formulierungsvorschläge. Sie erläutern die Details des Aktienrechts ausführlich und immer im systematischen Zusammenhang. So erfährt der Rechtsanwender nicht nur präzise, was, sondern auch, warum er etwas tun soll. Wer mit diesem Opus magnum noch nicht genug vom Aktienrecht hat, kann mit der dem Buch beiliegenden Karte exklusiv auch die dazugehörigen Mustertexte auf CD-ROM beziehen; dass dieser Service weiteres Geld kostet, ist allerdings wenig erfreulich. DennochWer sich professionell mit dem Aktienrecht beschäftigt, sollte schon jetzt in seinem Regal exakt 7,5 cm Platz für dieses Werk schaffen.
